Company Statement

We dedicate ourselves to providing emissions credits from Asian CDM projects in the global emissions trading markets, to meet rising demand for greenhouse gases reductions and address global warming issues.

China CDM is a Jersey incorporated company providing brokerage, advisory and research services relating to the reduction of greenhouse gases ("GHGs") in Asia. It works with businesses and projects that generate carbon credits, and assists the project owner to identify buyers for, and sell on, those carbon credits.

The Company operates within the framework of the Clean Development Mechanism ("CDM") of the Kyoto Protocol, established under the auspices of the United Nations Framework Convention on Climate Change. The Protocol commits countries to reducing their emissions of GHGs by pre-determined amounts or compensate for maintained or higher GHGs emissions via emissions trading.

Strategy
 
Management of CCEC summaries the company strategy as follows:

•  Maintain the dominance as the leading company to provide advisory services and brokerage services for large CDM projects in China , especially in power sector;

•  Become the first mover in the sector of natural gas power generation with the established partnership with CNOOC G&P. The emission reductions from gas power projects usually are huge. One of those projects CCEC is working on can result an annual CO2e of more than 3 Mt;

•  Exploiting the well-maintained relationship with Chinese power grid companies to promote emission reduction of SF6 gas, the worst GHG with a global warming potential of 23,900 times that of coal but is commonly used as an insulator in electrical transmission and distribution grids. According to Intergovernmental Panel on Climate Change (IPCC), ?SF6 emissions from electrical equipments are the largest global source category of SF6 emissions?. CECC staff has started to promote SF6 recycling and leak reduction system in State Grid Corporation and China Southern Grid Corporation, both are Global Fortune 500 companies. CCEC reasonable expects new SF6 reduction projects to be implemented in 2007 can considerable improve its profitability after 2008.

•  With reinforced cash position mainly from projects delivering CERs, CCEC will directly purchase carbon credits of smaller CDM projects to form a carbon portfolio at competitive price. The extensive network of CCEC in both buyers and sellers most likely to deliver high profitability with limited risks with the new carbon portfolio management business;

•  CCEC even looks further to post non-Appendix B period of China , which will eventually take the responsibility of emission reduction. The only on-line CDM transaction platform in China it is managing may be built into a major emission commodities exchange in Asia after continuous efforts of CCEC staff.

Business Structure
  
CCEC is conducting its activities through a series of partnership arrangements with CERs producers, brokers, buyers, DOEs and leveraging its well maintained relationship with DNA of China.

CCEC takes out the whole management team and staff from the Chinese leading emissions broker and services company, Beijing Changjiang River International Holding ( CRIH ) , which is left as merely a shell company abided by a series of exclusive agreements to subcontract all jobs relating to all of its CDM projects, both existing and future, to CCEC. CCEC will proceed with providing services independently for future CDM projects and pursuing other emission businesses unless otherwise requested by clients.

CCEC and its partner CRIH, have established long-term cooperation with world's leading Designated Operational Entities (DOEs) including Bureau Veritas Quality International Holding S.A. (BVQI Holding S.A.), and TจนV NORD CERT GmbH (RWTUV), to facilitate their project validation and verification of Certified Emission Reductions (CERs) in China . Project owners are depending on professional services of CCEC throughout the entire contracted life span of the project.

CCEC and its partner CRIH , has established relationship with major Chinese power producers, who are also contributing to most of GHG reductions under CDM. Some of those power producers in partnership with CCEC for CDM project implementation are Global Fortune 500 companies, e.g. State Grid Corporation and China Southern Power Grid Corporation . Other partners of CCEC on emission sell side include GD Power Development Co. Ltd. , China Yangtze Power Co. Ltd. , and CNOOC Gas & Power Ltd.

Large active CER buyers, including Mitsui & Co. and Tokyo Electric Power Company , have established a strong emission trading network for Chinese CDM projects in connection with CCEC and its partner CRIH .

Operations and Technology

CCEC's Carbon Brokerage division offers tailor-made solutions to clients wishing to develop projects in the framework of the Clean Development Mechanism (CDM). CCEC's Advisory services range from additionality evaluation and baseline calculation to project approval from the host country. CCEC accompanies its client's CDM project through all of the steps needed to reach final registration with the United Nations Framework Convention on Climate Change (UNFCCC). CCEC's engineering team carefully and professionally develops Project Design Documents (PDDs) and follows up with Designated Operational Entities (DOE) in partnership with CCEC in order to achieve a final validated document. Once registered, CCEC also accompanies the client's project through the monitoring and verification process.


Advisory Service & Brokerage CCEC's advisory services are coupled with its financial expertise and market knowledge to assist clients with their Carbon Credit transactions. In this role, CCEC supports client projects through the verification stage, as well as assists the client with the Carbon Credits Transactions to ensure competitive prices with reliable buyers. CCEC's Advisory Service and Brokerage offer is remunerated in kind, with a negotiated percentage of Carbon Credits generated by the project.

Brokerage CCEC's expertise in the transaction of Carbon Credits enables it to identify reliable buyers willing to purchase at competitive prices through valid and internationally-recognized contractual schemes. CCEC's Brokerage offer is remunerated in kind, with a negotiated percentage of Carbon Credits generated by the project. •  I dentifying Buyers interested in purchasing all or a part of the Certified Emission Reductions generated by the project. •  F acilitating the exchange of information between the project developers (i.e. Sellers) and prospective Buyers with regards to the terms and conditions of the sale and purchase CERs. •  A dvising Sellers on the best overall Bid(s) for the sale and purchase of CERs.
•  S upporting Sellers in concluding an ERPA with suitable Buyers.

Purchasing & Carbon Portfolio Management CCEC is to maintain its own carbon portfolio and actively seeks to purchase Kyoto-compliant carbon credits from Clean Development Mechanism projects in China at competitive prices. And its growing project database provides good opportunities for CCEC to have another division to act as a carbon fund when its cash position allows so.

Emission Commodities Exchange & Information Center CCEC has an extensive on-line presence in www.chinacdmex.com , the only on-line transaction platform of environmental commodities in China under CCEC's management. The website facilitates information exchanges for all related parties in CDM project development and acts as a portal for government authorities & international entities to acknowledge the public latest regulations and laws on CDM. CCEC intends to build an exchange of emission commodities from the on-line platform because Chinese industries may become as important on buy side as it is now on sell side if China is bond by emission reduction obligations in the next phase of the Kyoto Protocol.
